Terms of Service

These Terms of Service ("Terms") govern your use of the Theta Meridian website at thetameridian.com and the Theta Meridian product ("the Service"), both operated by Theta Meridian, LLC ("we," "us," "Theta Meridian"). By using the Service, you agree to these Terms.
1. Acceptance
By accessing the website, creating an account, or paying for a subscription, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you confirm you are 18 or older and have the legal capacity to enter into this agreement.
3. Your Account
You are responsible for:
- Keeping your login credentials secure.
- All activity that occurs under your account.
- Notifying us promptly if you suspect unauthorized access.
We may suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree not to use the Service to:
- Violate any law or the rights of others.
- Harass, threaten, or harm any person.
- Upload malicious code or attempt to disrupt the Service.
- Generate content that is illegal, defamatory, or sexually exploitative of minors.
- Scrape, reverse-engineer, or resell the Service or its outputs without our written consent.
5. Subscription and Billing
The Service is offered on a monthly subscription, billed in US dollars. The standard rate is $35/month — a $10 platform fee plus a $25 token pool you spend as you use AI agents. During our beta the rate is $17.50/month, exactly half of each component: a $5 platform fee plus a $12.50 token pool. The beta rate runs until our public launch — general availability, meaning the point at which Theta Meridian leaves beta and is open to the public — and we will give you at least 30 days' written notice before it ends, after which standard pricing applies. You may also purchase optional token packs. Subscriptions renew automatically each month unless cancelled. Cancellation takes effect at the end of the current billing period. Refunds for subscriptions and token packs are governed by our Refund Policy.
5.1 Access and Delivery
Theta Meridian is a digital service; nothing is shipped physically. During our beta, access is granted by application rather than self-serve signup, because we are opening a limited number of seats. If your application is accepted, we email you a secure Stripe checkout link — we never collect card details by email. Once your payment is processed, we provision your account and email you a sign-in link, immediately in most cases and in any event within two business days. You then access the Service at studio.thetameridian.com for as long as your subscription is active.
If we fail to provision your account within two business days of your payment, contact support@thetameridian.com and we will resolve it promptly or, at your option, refund that charge in full.
If your account has been provisioned but you cannot reach the sign-in link — a mistyped address, a spam filter, or an institutional mail block, for example — write to us and we will help you get in, including re-sending to a different address. Separately, and whatever the cause, your first charge is covered by the 14-day satisfaction window described in our Refund Policy.
6. Intellectual Property — Your Work Is Yours
This is a core promise of Theta Meridian. You own everything you create using the Service. That includes:
- Text, code, designs, and other content you generate.
- Documents you upload.
- Outputs produced by AI agents working on your behalf.
We claim no ownership of your work and grant ourselves no license to use it beyond what is strictly necessary to operate the Service for you (storage, display, processing). When you cancel, you can export your work and we delete our copies on the schedule described in the Privacy Policy.
We retain ownership of the Service itself — the software, the agent designs, the documentation, and our brand.
7. AI-Generated Content
The Service uses AI agents that assist you in producing work. You are the author of the work product. The AI is assistance, not authorship. You are responsible for:
- Reviewing AI-assisted output before publishing or using it.
- Ensuring AI-assisted output does not infringe third-party rights.
- Complying with the disclosure requirements of any platform where you publish AI-assisted work.
AI outputs may contain errors, omissions, or inaccuracies. The Service is not a substitute for professional advice (legal, medical, financial, or otherwise).
8. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is," without warranties of any kind.
- We are not liable for indirect, incidental, or consequential damages.
- Our total liability to you for any claim is limited to the amount you paid us in the twelve months before the claim arose.
9. Termination
You may cancel your subscription at any time from your account settings. We may suspend or terminate your access if you violate these Terms, with notice where reasonable. Upon termination, you retain the right to export your work for at least 30 days.
10. Changes to These Terms
We may update these Terms. Material changes will be announced by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
11. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute will be brought in the state or federal courts located in Texas.
