Terms of Service

Theta Meridian — Terms of Service Effective Date: June 8, 2026 Last Updated: October 31, 2026

Sections 4 (last three items), 6 (final paragraph), 7.2 and 12 were added on October 31, 2026 and take effect on November 14, 2026; until then they do not apply.

These Terms of Service ("Terms") govern your use of the Theta Meridian website at thetameridian.com and the Theta Meridian product ("the Service"), both operated by Theta Meridian, LLC ("we," "us," "Theta Meridian"). By using the Service, you agree to these Terms.

1. Acceptance

By accessing the website, creating an account, or paying for a subscription, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you confirm you are 18 or older and have the legal capacity to enter into this agreement.

3. Your Account

You are responsible for:

  • Keeping your login credentials secure.
  • All activity that occurs under your account.
  • Notifying us promptly if you suspect unauthorized access.

We may suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any law or the rights of others.
  • Harass, threaten, or harm any person.
  • Upload malicious code or attempt to disrupt the Service.
  • Generate content that is illegal, defamatory, or sexually exploitative of minors.
  • Scrape, reverse-engineer, or resell the Service or its outputs without our written consent.
  • Imitate the voice, identity, or likeness of a real person (including a singer, artist, or band) without their permission.
  • Reproduce lyrics, songs, artwork, characters, or other material you do not have the rights to, including by pasting existing song lyrics into a music generator or asking it to recreate or cover a specific existing song.
  • Remove, obscure, or misrepresent the AI-generated labels or model attributions the Service attaches to generated content.

5. Subscription and Billing

The Service is offered on a monthly subscription, billed in US dollars. The standard rate is $35/month — a $10 platform fee plus a $25 token pool you spend as you use AI agents. During our beta the rate is $17.50/month, exactly half of each component: a $5 platform fee plus a $12.50 token pool. The beta rate runs until our public launch — general availability, meaning the point at which Theta Meridian leaves beta and is open to the public — and we will give you at least 30 days' written notice before it ends, after which standard pricing applies. You may also purchase optional token packs. Subscriptions renew automatically each month unless cancelled. Cancellation takes effect at the end of the current billing period. Refunds for subscriptions and token packs are governed by our Refund Policy.

5.1 Access and Delivery

Theta Meridian is a digital service; nothing is shipped physically. During our beta, access is granted by invitation rather than self-serve signup, because we are opening a limited number of seats and screening for residency (see Section 5.2). If your application is accepted, we email you a secure Stripe checkout link — we never collect card details by email. Once your payment is processed, we provision your account and email you a sign-in link, immediately in most cases and in any event within two business days. You then access the Service at studio.thetameridian.com for as long as your subscription is active.

If we fail to provision your account within two business days of your payment, contact support@thetameridian.com and we will resolve it promptly or, at your option, refund that charge in full.

If your account has been provisioned but you cannot reach the sign-in link — a mistyped address, a spam filter, or an institutional mail block, for example — write to us and we will help you get in, including re-sending to a different address. Separately, and whatever the cause, your first charge is covered by the 14-day satisfaction window described in our Refund Policy.

5.2 Beta Status

The Service is currently in beta. Features may change, break, or be removed without notice, and we do not guarantee uptime, performance, or data preservation during this phase. Use of the Service during beta is at your own risk. Beta access is invitation-only; we do not currently invite residents of the EU, EEA, UK, Switzerland, or California (see Privacy Policy Section 9).

6. Intellectual Property — Your Work Is Yours

This is a core promise of Theta Meridian. You own everything you create using the Service. That includes:

  • Text, code, designs, and other content you generate.
  • Documents you upload.
  • Outputs produced by AI agents working on your behalf.

We claim no ownership of your work and grant ourselves no license to use it beyond what is strictly necessary to operate the Service for you (storage, display, processing). When you cancel, you can export your work and we delete our copies on the schedule described in the Privacy Policy.

We retain ownership of the Service itself — the software, the agent designs, the documentation, and our brand.

Some caveats are worth saying plainly. Under current US law, material generated entirely by AI, without enough human creative contribution, may not be protected by copyright, so we cannot promise that any particular output can be registered or enforced. Because AI models can produce similar outputs for similar requests, other users may receive output that resembles yours. We make no warranty that generated content is free of third-party rights.

7. AI-Generated Content

When you use the Service, your inputs — messages, uploaded documents, and other content you provide to AI agents — are sent to third-party AI providers (currently Anthropic, OpenAI, and Google) for processing. None of them are permitted to train their models on your data. When you generate or edit images or music in the Creative domain, your prompt and any images you include are instead processed on GPU infrastructure we rent from Modal, running open-weight models we operate ourselves; Modal does not access or use your inputs or outputs. The Service uses AI agents that assist you in producing work. You are the author of the work product. The AI is assistance, not authorship. You are responsible for:

  • Reviewing AI-assisted output before publishing or using it.
  • Ensuring AI-assisted output does not infringe third-party rights.
  • Complying with the disclosure requirements of any platform where you publish AI-assisted work.

AI outputs may contain errors, omissions, or inaccuracies. The Service is not a substitute for professional advice (legal, medical, financial, or otherwise).

7.1 Externally Sourced Research Content

If you use the Service's Research domain, agents may search and retrieve content from third-party research and legal databases (currently Exa, Tavily, Brave, DuckDuckGo, and CourtListener, a project of the Free Law Project) to help you find and cite external sources. We do not control, verify, or guarantee the accuracy, completeness, or continued availability of content on these third-party services. You are responsible for independently verifying any externally sourced material before relying on it, the same way you would verify a citation found through any other search tool.

7.2 Creative: Images, Music, Narration, and Video

The Creative domain generates images, music, narration, and video with AI models. Some run on GPU infrastructure we rent and operate ourselves (Modal); narration and video use Google. Generated files are labelled as AI-generated and name the model that made them; some models require that attribution (for example, "MiniMax-Music3" on music). Before first use you will be asked to accept a short Creative acknowledgement.

We check music requests for imitation of real artists' voices, existing song lyrics, and recreations of existing songs, and decline requests that cross those lines. These checks are a safeguard, not a guarantee; you remain responsible for having the rights to anything you bring into Creative (lyrics, images, audio, and other reference material) and for how you use, publish, or distribute what you make, including following the AI-content rules of any platform where you publish it.

8. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is," without warranties of any kind.
  • We are not liable for indirect, incidental, or consequential damages.
  • Our total liability to you for any claim is limited to the amount you paid us in the twelve months before the claim arose.

9. Termination

You may cancel your subscription at any time from your account settings. We may suspend or terminate your access if you violate these Terms, with notice where reasonable. Upon termination, you retain the right to export your work for at least 30 days.

10. Changes to These Terms

We may update these Terms. Material changes will be announced by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute will be brought in the state or federal courts located in Texas.

12. Copyright Complaints

We respect intellectual property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content on the Service infringes your copyright, send a written notice to our designated agent that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the material you claim is infringing and enough information for us to locate it; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized by the owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act on the owner's behalf.

If we remove your content in response to a notice, we will tell you, and you may send a counter-notice as described in 17 U.S.C. § 512(g). We terminate, in appropriate circumstances, the accounts of users who repeatedly infringe.
